Marketing Material Usage Rules

The following rules apply to the Business Partner using VIVOTEK's brands, trademarks, trade dresses, advertising/marketing writings, images, and videos (the "Materials"):

  1. License: VIVOTEK owns all Materials and grants distributors a revocable, non-exclusive, non-transferable, non-sublicensable, and royalty-free license to use the Materials solely for promoting and selling VIVOTEK products in the designated territory.
  2. Usage Restrictions:
    • Do not edit, modify, or change any part of the Materials.
    • Do not imply any partnership, joint venture, affiliation, endorsement, or sponsorship with VIVOTEK without getting any formal confirmation from VIVOTEK.
    • Do not use the Materials to disparage, defame, or otherwise degrade VIVOTEK.
    • Using any VIVOTEK's Materials and artwork assets shall comply with the VIVOTEK CIS Guidelines.
    • All use of VIVOTEK Materials must be approved by VIVOTEK.
  3. Agreements and NDA:
    • Formal agreements or NDAs must be signed with VIVOTEK before using any Materials.
  4. Disclaimer: The Materials are provided "as is" and "as available." VIVOTEK disclaims all warranties and indemnities.
  5. Indemnity: Business Partners must indemnify and hold VIVOTEK harmless from any loss or damage resulting from violations of laws and regulations regarding the Materials and/or breaches of this notice.
  6. Termination: When collaboration is terminated, Business Partners must cease using the Materials and return or destroy all copies with undersigned statement.
