VIVOTEK INC. ("VIVOTEK", "we", "us") has designed and is the sole owner of the VIVOTEK Premium Partner Portal ("VPP Portal"). Before using the VPP Portal, you ("User", "you") must carefully read and understand these Terms of Use ("Terms").

By downloading, installing, activating, accessing, or otherwise using the VPP Portal, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an entity, you represent that you have the legal authority to bind that entity. IF YOU DO NOT HAVE SUCH AUTHORITY OR DO NOT AGREE TO THESE TERMS, YOU AND THE ENTITY MUST NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE VPP PORTAL.

1. Personal data collected through the VPP Portal will be processed only as necessary to provide services and in accordance with applicable laws.
2. VIVOTEK does not guaranteethe confidentiality, security, or integrity of any data processed through the VPP Portal. Users are solely responsible for securing their own data.
3. Users must obtain any required consent from affected individuals before processing personal data via the VPP Portal.
4. VIVOTEK shall not be liable for any unauthorized access, data loss, data leakage, or security breach related to User's use of the VPP Portal.

Personal data processing practices applicable to the VPP Portal and other partner-facing tools are described in the Company’s Privacy Policy, including the Partner Relationship Management Data Use Notice.

1. VIVOTEK owns all rights, title, and interest in the VPP Portal and all associated intellectual property.
2. No licenses or rights are granted to Users, except as explicitly permitted under these Terms.
3. Users may not modify, distribute, copy, or reverse-engineer any part of the VPP Portal without prior written consent from VIVOTEK.

1. Users acknowledge that all source code, algorithms, business strategies, financial information, and technical know-how provided by VIVOTEK constitute Confidential Information.
2. Users must protect Confidential Information and not disclose it to third parties, except where required by law.
3. If disclosure is legally required, the User must notify VIVOTEK in writing to allow it to contest or limit the disclosure.

THE VPP PORTAL IS PROVIDED FREE OF CHARGE, "AS IS," AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND.

VIVOTEK DISCLAIMS ALL EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• AVAILABILITY & RELIABILITY: No guarantee that the VPP Portal will be uninterrupted, error-free, secure, or meet the User's requirements.
• DATA ACCURACY & PRIVACY: No guarantee that any data processed, transmitted, or stored via the VPP Portal is accurate, complete, reliable, or private.
• SECURITY: VIVOTEK shall not be responsible for any unauthorized access, hacking, malware, or cyberattacks affecting the VPP Portal.
• THIRD-PARTY INTEGRATIONS: VIVOTEK is not responsible for any issues arising from the use of third-party software, hardware, or services with the VPP Portal.

Users acknowledge that they assume all risks associated with using the VPP Portal.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIVOTEK AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO THE USE OF THE VPP PORTAL, INCLUDING BUT NOT LIMITED TO:

1. LOSS OF DATA, UNAUTHORIZED ACCESS, OR SECURITY BREACHES.
2. LOSS OF PROFITS, BUSINESS INTERRUPTION, OR SYSTEM FAILURES.
3. ANY DAMAGES RESULTING FROM THIRD-PARTY INTEGRATION OR COMPATIBILITY ISSUES.
4. LEGAL LIABILITY FOR PRIVACY BREACHES OR NON-COMPLIANCE WITH REGULATIONS, AS USERS ARE SOLELY RESPONSIBLE FOR COMPLYING WITH APPLICABLE DATA PROTECTION LAWS.
5. ANY CLAIMS OR DAMAGES ARISING FROM USER MISUSE, MISCONFIGURATION, OR UNAUTHORIZED ACCESS.
6. SERVICE AVAILABILITY OR FUTURE FUNCTIONALITY, AS VIVOTEK DOES NOT GUARANTEE THE CONTINUED OPERATION OR FEATURES OF THE VPP PORTAL.

IN NO EVENT SHALL VIVOTEK OR ITS AFFILIATES HAVE ANY LIABILITY WHATSOEVER, REGARDLESS OF THE FORM OF CLAIM OR LEGAL THEORY. USERS ACKNOWLEDGE THAT THEY USE THE VPP PORTAL ENTIRELY AT THEIR OWN RISK.

Users agree to indemnify and hold harmless VIVOTEK and its affiliates from any claims, liabilities, damages, or legal actions arising from:

1. User’s misuse, misconfiguration, or unauthorized use of the VPP Portal.
2. User’s violation of any laws or regulations while using the VPP Portal.
3. Any data breaches, unauthorized access, or security incidents resulting from User's actions.

1. Jurisdiction & Governing Law: These Terms are governed by the laws of Taiwan, R.O.C., and any disputes shall be exclusively handled in the courts located at VIVOTEK’s registered headquarters.
2. Severability: If any provision is found invalid, the remaining Terms shall remain in full effect.
3. Amendments: VIVOTEK reserves the right to modify these Terms at any time, with updates effective upon posting. Continued use of the VPP Portal after updates constitutes acceptance of the new Terms.
4. Termination: VIVOTEK reserves the right to suspend or terminate access to the VPP Portal at any time, without notice, for any reason.
